01Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you and MT Sports Agency LLC ("MT Sports Agency," "we," "our," or "us"). By accessing or using our website at mtsportsagency.com and any related subdomains (the "Site"), you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any part of these Terms, please do not use the Site.

02About the Site

The Site provides general information about MT Sports Agency, the agency's services, the people behind the agency, and the topics MT covers in its representation work. The Site includes pages about NFL representation, NIL contract review, NIL compliance, brand partnership structuring, athlete marketing strategy, long-term endorsement review, coaching and executive representation, sport-specific representation, and related sports business topics.

The Site is intended to be a resource for athletes, parents, advisors, coaches, executives, brand partners, and other interested visitors. It is not a substitute for legal, financial, or other professional advice.

03No Attorney-Client Relationship

MT Sports Agency is led by attorneys and NFLPA-certified contract advisors. However, accessing the Site, reading the content, or submitting an inquiry through the contact form does not create an attorney-client relationship between you and MT Sports Agency, its principals, or any of its advisors.

An attorney-client relationship is formed only after both parties have agreed in writing to a specific engagement, any conflict-of-interest review has been completed, and any required engagement documents have been signed.

Until such an engagement is in place:

• Information shared through the inquiry form or other Site communications is not protected by attorney-client privilege
• MT Sports Agency has no duty to act on your behalf or to provide legal advice
• You should not rely on Site content as legal counsel for your specific situation
• You should not send confidential or time-sensitive information unless specifically requested

04No Representation Agreement

MT Sports Agency works selectively. Submitting an inquiry through the Site does not create a representation, advisory, or agency relationship of any kind. MT reviews each inquiry individually and follows up only when there is a clear fit between the inquiry and what MT can provide.

A representation or advisory relationship is formed only when MT and the prospective client have explicitly agreed to engage and have signed the appropriate representation or engagement agreement, including any required NFLPA Standard Representation Agreement where applicable.

05Permitted Use

You may use the Site to:

• Read about MT Sports Agency, its services, and the topics it covers
• Learn about the people behind the agency
• Submit a sincere, good-faith inquiry through the contact form
• Share Site links with others for non-commercial, informational purposes

06Prohibited Conduct

You agree not to use the Site or any of its features to:

• Violate any applicable law, regulation, or rule, including NFLPA rules, NCAA rules, conference or association rules, state NIL rules, or attorney advertising rules
• Submit false, misleading, fraudulent, or impersonating information through the inquiry form or any other input
• Interfere with, disrupt, or attempt to gain unauthorized access to the Site, related systems, networks, or accounts
• Use automated tools, bots, scrapers, or similar technologies to access, collect, or extract Site data without express written permission
• Reverse-engineer, decompile, or attempt to derive the source code of any part of the Site
• Reproduce, copy, modify, distribute, sell, license, or create derivative works of the Site or its content, except as expressly permitted in these Terms
• Use the Site to transmit viruses, malware, or other harmful code
• Use the Site or its content to support competing services without express written permission
• Harass, threaten, or harm any person, including MT Sports Agency personnel, through the Site or its contact form

07Intellectual Property

All content on the Site, including text, graphics, photographs, logos, marks, design elements, page layouts, and other materials, is owned by or licensed to MT Sports Agency LLC and is protected by copyright, trademark, and other applicable intellectual property laws.

The MT Sports Agency name, logo, and any related word marks or design marks displayed on the Site are owned by or used under license by MT Sports Agency LLC. Nothing on the Site grants you a right or license to use these marks without prior written consent.

You may not copy, reproduce, modify, distribute, display, perform, or create derivative works from any Site content for commercial use without prior written permission from MT Sports Agency. Limited personal, non-commercial reference is permitted, provided that all proprietary notices remain intact.

08User Submissions

If you submit information, content, ideas, suggestions, or feedback to MT Sports Agency through the inquiry form or any other channel ("Submissions"), you represent that:

• The Submissions are accurate and not misleading
• You have the right to share the Submissions and to grant the rights described in these Terms
• The Submissions do not violate any third party's rights, including intellectual property, privacy, or contractual rights
• The Submissions do not contain confidential information unless requested by MT

You agree that MT may use Submissions to evaluate the inquiry, communicate with you, improve the Site, and otherwise carry out the purposes described in our Privacy Policy.

The Site may include links to third-party websites, services, articles, or resources, and may use third-party platforms (for example, the form provider used to host the contact form). These third parties operate independently. MT Sports Agency does not control, endorse, or assume responsibility for the content, products, services, or practices of any third party.

Information on the Site may not reflect the most current legal, regulatory, NIL, NFLPA, conference, or association developments. MT Sports Agency does not warrant that the information is current, accurate, or applicable to your specific situation, and does not undertake to update it.

11Limitation of Liability

To the fullest extent permitted by applicable law:

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of the limitations above may not apply to you. In those cases, MT Sports Agency's liability is limited to the smallest extent permitted by law.

12Indemnification

You agree to indemnify, defend, and hold harmless MT Sports Agency LLC, its members, officers, employees, advisors, agents, contractors, and affiliates from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Site
• Your breach of these Terms
• Your violation of any law, rule, regulation, or any rights of a third party
• Any Submissions you make to MT Sports Agency through the Site

13Governing Law

These Terms and any dispute arising out of or related to these Terms or your use of the Site are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles.

You agree that any action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in the State of Ohio, and you consent to the personal jurisdiction of those courts. You waive any objection to venue in those courts.

If you are accessing the Site from outside the United States, you are responsible for compliance with all applicable local laws.

14Changes to These Terms

MT Sports Agency may update these Terms from time to time. When updates are made, we will revise the "Last Updated" date at the top of this page. Material changes may be communicated through additional notice on the Site.

Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms. If you do not agree with any updated Terms, you should stop using the Site.

15Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

These Terms, together with the Privacy Policy and any other notices or policies posted on the Site, constitute the entire agreement between you and MT Sports Agency regarding your use of the Site, and supersede any prior or contemporaneous understandings on that subject. Failure by MT Sports Agency to enforce any right or provision of these Terms is not a waiver of that right or provision.
